LANSRAD - SOFTWARE LICENSE AGREEMENT

 

IMPORTANT:  CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS.  BY INSTALLING THIS SOFTWARE, YOU INDICATE YOUR ACCEPTANCE OF THE FOLLOWING LANSRAD LICENSE AGREEMENT.

 

This document is a legal agreement between the Licensee and LANSRAD for the acquisition and use of the LANSRAD Clarion ProPath (PROPATH) developer tools.  Carefully read all the terms and conditions of this agreement.

 

LICENSE:  LANSRAD, as Licensor and in consideration of payment of the appropriate License Fee, grants to Licensee a non-exclusive, non-transferable right to use all copies of PROPATH acquired by and under this agreement.

 

OWNERSHIP:  This license is not a sale of the original PROPATH software.  LANSRAD retains title and ownership of PROPATH.  Licensee owns only the magnetic media and accompanying written materials furnished by LANSRAD under this agreement.

 

COPIES:  PROPATH and the accompanying written materials, including but not limited to help files and Clarion templates are copyrighted.  Licensee may make one (1) copy of each PROPATH version acquired solely for backup purposes.  Unauthorized copying of PROPATH and/or any accompanying written materials is expressly forbidden.  Licensee may be held legally responsible for any copyright infringement that is caused or encouraged by its failure to abide by the terms of this license.

 

OBJECT CODE:  Licensee may use PROPATH in the development of software and distribute binary object code that contains PROPATH without limitation.  Licensee may not distribute the source for PROPATH except by explicit written permission.

 

END USER DOCUMENTATION:  Licensee may modify or redistribute the end user documentation as needed.

 

TRANSFERS:  Licensee may physically install a licensed copy of PROPATH on more than one computer at a time, but the software is considered to be licensed at the rate of one license per each developer who will use it.  In no event may Licensee transfer, assign, sub-license, rent, lease, or sell PROPATH on a temporary or permanent basis except as herein provided.

 

LIABILITY:  In no event shall LANSRAD or any of its employees or vendors be liable for any special, indirect or consequential damages or any damages whatsoever arising out of or in connection with the use or performance of the licensed PROPATH software.  LANSRAD’s entire liability and Licensee's exclusive remedy shall be, at LANSRAD’s option, the return of the License Fee paid hereunder.  The software is sold As-Is and installation and use of it constitutes acknowledgement and acceptance of this fact.

 

SUPPORT:  LANSRAD will furnish Licensee with free technical support.

 

TERMINATION:  This license is effective until terminated.  This license will terminate automatically without notice from LANSRAD if Licensee fails to comply with any provision of this license.  Upon termination, Licensee shall destroy all copies of PROPATH including any modified copies.

 

MISCELLANEOUS:  This agreement is governed by the laws of the State of Tennessee, United States of America.  Licensee agrees to allow LANSRAD to list the licensee's entity name, city and state in LANSRAD’s marketing materials without notice or recompense to licensee.  Any questions should be directed to LANSRAD at the address below.
